A transaction is not a sham merely because it is complex, artificial, involves a round robin of cheques, lacks commercial purpose, or could have been achieved by simpler means, provided the parties intended the transactions to operate according to their terms. Neither de jure nor de facto control of a company confers upon the controller any proprietary interest in the company's assets, and the corporate veil will not be lifted merely because the controller treats company funds as his own. The party asserting that company funds are really the property of the controller bears the onus of proof.
