A contract of indemnity may be implied from a course of commercial dealing where one party continues to be invoiced and maintains a credit account for goods supplied to a related entity, particularly where the related entity refuses to establish its own credit facilities. An 'entire agreement' clause in a framework agreement between two parties does not preclude an implied indemnity contract between one of those parties and a third party where the credit arrangements were independently negotiated outside the scope of the framework agreement.
