A legal adviser's duty of care does not extend to warning of possible changes in the law that may result from a pending High Court appeal where the reasoning of the High Court majority was not reasonably foreseeable. The fact that legal advice is later held to be incorrect does not establish negligence; the question is whether the advice was reasonable and competent at the time it was given. The Gambotto expropriation doctrine does not apply to a demutualisation proposal where all members are offered the same choice and no group of members is advantaged at the expense of another.
