Section 247A of the Corporations Law cannot be used as a tactical device to obtain documents that are the subject of a legal professional privilege claim in related proceedings. The provision is a remedial or last resort measure, and the court will refuse an application where the applicant has not demonstrated a genuine personal interest to protect and has not first challenged the privilege claim in the related proceeding.
