An indemnity clause providing indemnity against liabilities 'arising out of or in respect of the carrying out of' an agreement will, where the contract concentrates obligations on one party, be construed as limited to liabilities arising from that party's carrying out of the agreement. Even where the clause is not so limited, a merely temporal connection — where the contract provides no more than the occasion for the liability — is insufficient to engage the indemnity.
