A petitioner whose own misconduct is causative of the breakdown in confidence between members cannot obtain a winding up on the just and equitable ground. The winding up of a trustee company that holds no beneficial interest in trust assets will achieve nothing and should be refused on that basis alone. Quasi-partnership principles do not apply where the corporate structure was not converted from a partnership between the parties.
