A lien on cargo clause in a bill of lading that extends to sums payable under 'any other contract' by persons defined as 'Merchant' does not extend to debts owed by an agent in its capacity as agent for a person who has no interest in the goods subject to the lien and who is not within the definition of 'Merchant' in the relevant bill of lading. Clear language is required to confer a right to seize one person's goods to secure another person's debt. An agent who arranges a contract of carriage on terms that expressly impose joint and several liability on persons acting on behalf of the shipper becomes a party to that contract and personally liable for freight.
