A communication to a company which is received by an employee on behalf of the company in the ordinary course of business is communication only to the company and does not constitute publication for defamation purposes. This applies whether the employee is a managing director or any employee receiving the communication on behalf of the company. A broad implied term requiring a bank to give reasonable notice before varying its customary mode of providing banking services will not be implied where the term is of remarkable width and generality, is likely to conflict with express contractual rights, and is not necessary for business efficacy where the bank has made alternative arrangements preserving the customer's practical banking position.
