A contractual clause requiring disputes to be referred to an ADR centre 'for dispute resolution' is at least arguably not void for uncertainty, but where the clause is not a Scott v Avery provision (i.e., does not make ADR a precondition to the cause of action), enforcement by way of stay or injunction is discretionary. Relevant discretionary factors include whether forced referral is likely to be productive, the need for expedition, delay in seeking the stay, the financial position of parties, and the risk that delay may frustrate the contractual purpose the ADR clause was designed to serve.
