A liquidator who enters into funding arrangements that make them beholden to a litigation funder, commences proceedings without disclosure to interested parties, fails to respond to reasonable inquiries about independence, and receives payments from the company's debtor will be found to lack the independence and impartiality required for appointment. Where both parties' nominees are compromised, the Court will appoint a truly independent liquidator of its own selection.
