The principles in Cameron v Hogan (1934) 51 CLR 358 concerning the court's reluctance to intervene in the internal affairs of voluntary associations do not apply to incorporated associations whose rules are binding by statute under s 23 of the Associations Incorporation Act 1985 (SA). A provision in an association's rules prescribing the month for an annual general meeting is directory, not mandatory, and a meeting held outside the prescribed month is not invalid on that ground alone. Section 61(4) of the Associations Incorporation Act 1985 (SA) confers wide discretionary powers to modify rules and resolve disputes in cases of oppression.
