A notice of intention to rescind a contract unless performance occurs by a specified date does not constitute an election precluding acceptance of repudiation before that date; the only limitation is that if the breach is cured within the extended period, the right to rescind is gone. In oppression proceedings under s.260, the cumulative effect of a course of conduct must be assessed, and individually bona fide acts may together constitute oppression. A directors' meeting at which a director was tricked into attending may be valid at law but equity may grant relief on the ground of 'surprise'.
