An implied term of confidentiality in an employment contract survives termination where the information is in the nature of a trade secret directed to a technical issue of some complexity, as distinct from mere customer lists or general business information. A former employee in a managerial position of trust owes both contractual and fiduciary obligations of confidentiality that can be enforced by injunction post-termination. On the defamation cross-appeal, a plaintiff cannot rely on an unpleaded imputation substantially different from the pleaded meaning for the first time on appeal where it would be unfair to the defendant.
