Where a company manager has responsibility for and authority over a loan transaction, including recommending it to the Board and ensuring compliance with conditions, that manager's state of mind stands as that of the company for the purpose of establishing that the company was deceived by false representations. It is not necessary to call Board members to establish that the representations operated on the company's mind. The trial judge retains a discretion whether to direct the jury on the relevance of good character evidence to the credibility of the accused as a witness, and failure to give such a direction does not necessarily give rise to a miscarriage of justice.
