An oral variation of a written contract can be established in relational contract settings through the parties' course of dealing, even where the contract requires variations to be in writing, provided the variation is supported by consideration and is sufficiently certain. A duty of good faith and fair dealing governs the exercise of contractual termination powers, and a termination exercised in bad faith may itself constitute repudiation. Where a party is obliged to commit its own property beyond the originally contracted period due to the other party's breach, the notional rental value of that property provides an appropriate default measure of damages, even where no actual rental expenditure was incurred. Quantum meruit is available as a remedy following termination for breach of a losing contract, but recovery is limited to the reasonable value of services rendered.
