Part 2F.1A of the Corporations Act applies to companies in liquidation, and leave under s 237 may be sought by shareholders to bring derivative actions on behalf of a company in liquidation. The Court's inherent power to authorise derivative proceedings in liquidation survives Part 2F.1A, and orders may be framed to rely on both the statutory and inherent jurisdictions. Where amendments adding derivative claims are permitted, they relate back to the date of filing of the summons under Part 20 rule 4(5A) of the Supreme Court Rules.
