The power to accept or reject membership applications in an incorporated association must be exercised in good faith and by reference to the objects of the association; a blanket rejection of applications for the purpose of preventing a vote on a particular issue is contrary to the interests of members as a whole under s 61. The test of commercial unfairness applicable to companies under oppressive conduct provisions must be modified when applied to non-profit incorporated associations. Section 25(a) of the Associations Incorporation Act 1985 (SA) confers power to dispose of real property even where the constitution contains no express power of sale.
