A statutory authority whose legal right to recover from a culpable director is frustrated by deregistration of the company is a 'person aggrieved' under s601AH(2) of the Corporations Act 2001. Delay in applying for reinstatement does not negate standing as a person aggrieved, and will not justify refusal of reinstatement where the delay is explained and causes no prejudice. The question whether any residual discretion exists to refuse reinstatement once the statutory preconditions are met was left open.
