A licensor who revokes a contractual licence cannot obtain an injunction to restrain the licensee as a trespasser without the court first considering whether the revocation was in breach of an implied negative contractual stipulation not to wrongfully revoke. A licence agreement over land granted by a business entity for substantial consideration constitutes the provision of rights 'in trade or commerce' for the purposes of the Fair Trading Act 1999 (Vic), even if the transaction is isolated and unlikely to be repeated. A purported charge that secures no obligation and no liability does not create an interest in land sufficient to make a licence irrevocable.
