A vendor's general and qualified statement about expected business turnover, made in the context of known adverse circumstances affecting the business, does not amount to misleading and deceptive conduct when the purchaser was aware of those circumstances. Where a purchaser operates a business for several months before completing the purchase and relies on their own assessment of its potential, a prior representation about turnover will not be treated as a real or material cause of the decision to purchase.
