Section 763B(b) of the Corporations Act (no day-to-day control element of 'financial investment') is assessed as a matter of fact, not by reference to the structure of the arrangement; accordingly, joint venture arrangements that nominally provide investor control may still constitute financial investments if investors have no actual control. Directors and officers of companies carrying on a financial services business without an AFS licence are personally required to hold their own licence under s 911B. Provisional liquidators' reports are not 'books' of the body corporate for the purposes of s 1305 and do not attract the prima facie evidence presumption.
