Part 2F.1A of the Corporations Act 2001 (Cth) applies to companies in liquidation, but leave to bring a statutory derivative action should only be granted in extraordinary circumstances. Extraordinary circumstances may exist where the liquidators have completed their principal commercial function, all creditors have been paid in full, the dispute is in substance between members, and the applicant is prepared to bear the costs. The court may impose conditions including an undertaking to indemnify the company and liquidators against costs liability.
