An agreement is not void for uncertainty merely because administrative or procedural matters for its implementation remain to be worked out, where those matters can be resolved by implied terms (including the duty of cooperation and terms implied in fact from the commercial context). The identification of outstanding matters that have not been agreed, and whether those matters are essential, can only occur after the agreement has been construed in its commercial context and its express and implied terms identified.
