A conclusive evidence clause in a company constitution that facilitates proof of a debt in respect of a call on members does not expand the substantive power to make calls beyond the class of persons on whom calls may be levied. Where a constitution limits calls to ordinary members, proof that a person's name appears on the register of ordinary members does not establish liability if the person had in fact ceased to be a member before the call was made. The substantive power-conferring provision prevails over the procedural/evidentiary provision in the case of inconsistency.
