A ground of challenge to a statutory demand need only be raised by reasonably available inference from the supporting affidavit and annexed documents, not by express statement or necessary inference. A claim for the deficiency on resale under clause 9.3.1 of the standard contract for sale of land is a claim for a debt within s 459E of the Corporations Act. A change of custodian under a managed investment scheme does not automatically vest the former custodian's contractual choses in action in the new custodian; an effective assignment is required.
