A breach of fiduciary duty consisting of a trustee's refusal to transfer legal title to shares does not, without more, establish a sufficient connection to profits derived by the trustee from control of the company for purposes of an account of profits. The profits sought must be connected to the specific breach found, not to a generalised conflict of interest and duty. Where the conduct complained of constitutes a breach of duties owed to the company rather than to the shareholder, the appropriate remedy lies with the liquidator or through a derivative action, not through a personal claim by the shareholder.
