An obligation to use 'all reasonable endeavours' to achieve novation is not discharged merely because novation is not presently practicable; the obligation continues as an ongoing one where circumstances may change. Implementing a pre-emption procedure that would likely result in the subject matter being acquired by third parties rather than the intended transferee is not a 'reasonable endeavour' to achieve the contractual object of novation. Interim obligations to preserve and make available the subject matter of a contemplated novation may be of indeterminate duration and are not necessarily subsidiary to the novation obligation.
