A buy-out order under s 233(1)(d) is not appropriate where a provisional liquidator has been appointed and the company's business has been sold, as the separation of interests has already been achieved. Where the relationship between members of a quasi-partnership has irretrievably broken down, winding up on the just and equitable ground under s 461(1)(k) is the characteristic remedy, even where an oppression claim fails.
