A Deed of Company Arrangement that deems all liabilities to have been 'paid and fully satisfied' rather than 'released' is in substance a release of the company from its debts, and s 444J of the Corporations Act 2001 (Cth) therefore preserves creditors' rights under guarantees and indemnities notwithstanding such a clause. An applicant seeking to withdraw deemed admissions under UCPR r 166 must demonstrate a genuine dispute about the subject matter of the admissions with sufficient evidentiary particularity; bare assertions of dispute are insufficient. The distinction between equitable mortgage and equitable charge has limited practical significance for Torrens system land.
