In a solvent members' voluntary winding up, shareholders entitled to share in a surplus of assets are 'creditors' for the purposes of s 493A of the Corporations Act 2001 (Cth). A liquidator may therefore impose conditions on consent to a share transfer that protect the interests of shareholders in the surplus, including a condition requiring the transferee to pay a judgment debt owed to the company.
