A person bound by a court order restraining them from carrying on a particular business cannot circumvent that order by interposing a company to conduct the business where the person is in fact the controlling mind of the company, directly participates in the business, and the company structure is a sham or device to conceal the person's involvement. The corporate veil will be pierced in contempt proceedings in such circumstances. For notification purposes under r 904(2) UCPR, the making of a consent order in the presence of a party's legal representatives, combined with evidence of the party's actual knowledge of the prohibition, is sufficient notification even without personal service.
