Section 84(2)(b) of the TPA does not attribute to a holding company the conduct of agents engaged by a subsidiary merely because the holding company has a general economic interest in the subsidiary's business. The requirement of direction, consent or agreement by a director, employee or agent of the body corporate acting within actual or apparent authority must be specifically established. The separate entity doctrine applies fully in the context of s 84(2). In deferred completion contracts, loss from pre-contractual misleading conduct is assessed at the date of settlement as the difference between purchase price and market value.
