Where a business sale agreement is rectified via its schedules, ancillary documents executed in the same form should also be rectified to ensure consistency and prevent future disputes. Where multiple unsuccessful parties have played materially different roles in litigation, costs may be apportioned to reflect those roles rather than ordered jointly and severally.
