The general rule in Toll v Alphapharm that a signatory is bound by the contents of a signed document does not apply where the case involves an alleged misrepresentation; even if a party signed a document containing the true position, it remains open to argue that a misrepresentation was made. The source of funds (company account vs personal account) does not defeat a personal claim for misleading and deceptive conduct where the representation was made to the individual. Where a representation depends on a bare fact rather than subtle nuances, less caution is required in assessing oral evidence of the representation.
