A plaintiff in defamation must adduce admissible evidence that the words complained of were read by at least one person other than the plaintiff; mere posting on an internet forum is insufficient without evidence of readership. The Peters v The Queen objective test for dishonesty applies to s 184(2) of the Corporations Act 2001 (Cth), and a director who issues a peremptory instruction to pay company funds on a bogus invoice to a related entity, without board approval and in knowledge of the company's financial distress, commits an offence under that provision.
