A partnership described as continuing 'indefinitely' until determined is a partnership at will under s 37(1) of the Partnership Act 1895 (WA), not a partnership for a fixed term. The dissolution of a partnership does not frustrate a separate but related agreement for the transfer of an interest in land where the obligations under that agreement are capable of performance independently of the partnership. A purchaser under a contract for sale of land who has paid part of the purchase price has an equitable interest commensurate with the right to specific performance and an equitable lien securing repayment of purchase moneys paid, but does not acquire immediate beneficial co-ownership.
