A renewal clause providing that an agreement 'shall renew for a period which is the lesser of the Initial Term or twelve months and otherwise upon the same terms and conditions' provides for only one renewal, not successive renewals, where the word 'otherwise' does not incorporate the renewal clause itself into the renewed terms. A restitutionary claim for recovery of overpayments requires the payer to adduce evidence establishing a causative mistake of fact or law; payments made knowingly, even if the payer was unaware of the contractual position, are insufficient without evidence that a specific mistaken belief caused the payments to be made.
