Under the 2011 Joint Form of General Conditions for the Sale of Land, the phrase 'title being ready for dealing' in a special condition means the subdivision plan being in order for dealing, not the issue of a certificate of title. A buyer who intends to use bank finance requiring a certificate of title, and who is willing to settle only on that basis, is not 'ready, willing and able' to settle where the contract does not require production of a certificate of title. Clause 4.7(b) of the General Conditions operates as a valid liquidated damages clause entitling an innocent party to claim interest at the prescribed rate for the period of delay, or to claim and prove damages in a different amount.
