A solicitor who commences proceedings without authority from the corporate client risks personal liability for costs, but the degree of negligence or fault and all surrounding circumstances (including the opposing party's own misconduct) are relevant to the exercise of the costs discretion. Leave to appeal from costs decisions will be refused where the amount in issue is small and no question of principle is involved.
