A contractual interest clause conditioned on the purchaser failing to complete 'without default by the vendor' refers only to defaults referable to completion, not to breaches of other contractual obligations such as training or assistance obligations. A contractual obligation to 'assist' a purchaser in a sale of business context, where the purchaser has taken immediate possession and control, requires the vendor to take reasonable steps as and when requested by the purchaser, not to act unilaterally.
