A 'direct dealing' within the meaning of a non-solicitation undertaking connotes some interaction between the parties; passive receipt of an unsolicited communication and mere execution of a document recording a concluded agreement are insufficient. Where an employee holds positions with both an employer and a subsidiary, dealings conducted through the subsidiary's email address and in the subsidiary's capacity are not dealings on behalf of the employer for the purposes of the undertaking.
