A standstill or moratorium can be implemented by a scheme of arrangement in a proper case. Schemes of arrangement may provide for amendments to finance documents, including lowering consent thresholds for future amendments, without constituting impermissible machinery for variation of the scheme's own terms. Beneficial owners of globally-held notes issued in global form are contingent creditors of the issuer and are properly treated as scheme creditors. Where a deed poll executed by a foreign company is governed by New South Wales law and provides for submission to the jurisdiction of New South Wales courts, it is not necessary to lead evidence of due execution under the law of the place of incorporation.
