A court may determine questions of contractual construction in statutory demand proceedings where the construction is unambiguous and the opposing arguments are 'patently feeble'. A contractual clause identifying a party as acting 'as agent for and on behalf of' named principals, combined with a clause imposing several liability on those principals, admits of only one construction: the principals are bound by the contract. Invocation of a contractual dispute resolution mechanism does not constitute an acknowledgment of a genuine dispute as to liability, nor does it provide 'some other reason' under s 459J(1)(b) to set aside a statutory demand where the mechanism is not exclusive or mandatory and no genuine dispute as to liability exists.
