A supply agreement requiring the supplier to reserve production capacity, maintain buffer stock, meet binding deadlines, and use the purchaser's proprietary tooling may, as a matter of construction, contain an implied exclusivity term obliging the purchaser to buy exclusively from that supplier, even where no express exclusivity clause exists.
