A contractual provision preserving obligations 'notwithstanding termination' operates only to preserve those obligations that are capable of operation after termination; it does not revive obligations that are contingent on events (such as project completion) that can no longer occur. Monthly payments described as 'in advance' under a consultancy agreement are deductible from any alternative payment entitlement arising on termination, not only from the primary fee to which they were expressed to relate. A Calderbank offer that is subject to the drafting of terms of settlement containing specified standard clauses is not void for uncertainty where the subjects to be covered are identified and the offeree's own correspondence indicates willingness to negotiate such terms.
