The Court held that where evidence at first instance shows a company would inevitably be wound up, leave to appeal from a winding up order will be refused on the basis that no substantial injustice is occasioned; and that breach of fiduciary duty claims not raised at first instance will not be permitted on appeal where they would be factually and legally complex and unfairly burdensome.
