A station manager who carries out day-to-day operational tasks under the direction of directors, and who does not make or participate in decisions affecting the whole or a substantial part of the business, is not an 'officer' within the meaning of s 9 of the Corporations Act 2001 (Cth). A claim under s 183(1) requires clear identification of the specific information said to have been improperly used; general allegations about knowledge of the 'state of negotiations' are insufficient. A former employee who applies for a competing commercial opportunity after the termination of employment, using general knowledge and relationships acquired during employment, does not thereby breach ss 182 or 183. Section 19(6) of ALRA confers indefeasibility on interests granted under s 19, subject only to a fraud exception requiring actual dishonesty.
