Where an employment contract provides for participation in a sales incentive program, the terms of that program are enforceable in contract while the program remains on foot, notwithstanding a clause disclaiming contractual force for employer 'policies', where the program defines a salary component to which the employee is contractually entitled. An employer's discretion to review and adjust sales plans does not include a power to retrospectively cap incentive payments after the measure period has concluded, absent clear express provision. A blanket cap applied uniformly without regard to individual performance may constitute a capricious exercise of discretion in breach of an implied term of good faith.
