Where a sale process is conducted independently and produces bids in excess of valuations, the mortgagee's parent may finance the purchaser and obtain an option to control the purchaser without necessarily establishing fraud on the power; however, such arrangements may be vulnerable to challenge where the power is exercised for a collateral purpose rather than to recover the mortgage debt.
