A positive obligation in a joint venture agreement to 'take all necessary steps to give full effect to the provisions of this Agreement' implies a correlative negative obligation not to act inconsistently with those steps. In a development joint venture, 'continued enjoyment of the Land for the purposes of the Joint Venture' encompasses the development of the land, not merely its physical availability. Where a 'Joint Venturer' is defined as a composite of an individual and a corporate entity, a breach by one constituent part constitutes a breach by the Joint Venturer for the purposes of default and buy-out provisions.
